EMPLOYEE RELEASE

For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, I agree as follows:

1. I hereby grant to Premium Brands Opco LLC (the “Company”), its officers, directors, employees, agents, parents, subsidiaries, affiliates, licensees, successors, and assigns, and others working for or with each of them or on their behalf, and any third parties (collectively, the “Permitted Parties”), the right and permission to film, record, and photograph me, and/or to use, reproduce, distribute, exhibit, display, perform and otherwise use any recordings, images, photographs or any other imagery, edited or altered as the Permitted Parties see fit, as well as my name, biographical information, picture, image, voice, likeness, status as a Company employee, remarks, performance and social media handle, combined with any other materials the Permitted Parties so choose, in advertising, promotional, publicity, and other materials of any kind (collectively, the “Materials”), in any manner, venue or media whatsoever (whether now known or hereafter devised) throughout the world, in perpetuity, for any lawful purposes, including, without limitation, for purposes of advertising, publicity or trade. I understand that Permitted Parties shall be under no obligation to exercise the rights granted herein.
2. I shall have no right of approval nor any right to any or additional compensation (including, without limitation, claims based upon invasion of privacy, defamation, right of publicity, or trademark or copyright infringement) arising out of any use, exploitation, editing, alteration, blurring, distortion, faulty reproduction, fictionalization, illusionary effect, or use in any composite form of the Materials. I hereby waive the benefit of any rights of droit moral or similar rights anywhere in the world. I consent to the use of artificial intelligence in connection with the Materials. This paragraph in no way impacts my right to wages as an employee of Company or one of its affiliates.
3. I agree to release and forever discharge the Company from and against any and all liabilities or claims whatsoever with respect to or in any way arising from the Materials (including, without limitation, any liability for economic injury, personal injury, illness, property damage, or any other loss or any other harm) provided, however, that the release and discharge set forth in this sentence shall not apply in the event that such injury, illness, damage, or loss is a result of the negligence or willful misconduct of Company or their respective employees or agents. Company shall not be liable for any additional broker’s, agent’s fees, commissions, taxes, production company fees, union or guild fees, or other payments to third parties payable in connection with this agreement.
4. I represent and warrant that: (a) I am at least 18 years of age; and (b) I have the full and exclusive right and authority to enter into this release and this release does not conflict with any existing commitment on my part.
5. I will not use, or disclose to any third party (including, without limitation, on Facebook, Twitter, or any other social media platform), any trade secrets or confidential information of the Permitted Parties.
6. To the extent I post the Materials on my personal social media accounts, I shall do so only with email approval from the Company. I warrant to use prominently disclose my Company affiliation by use of the hashtag, #[Brand]employee, in any such social media posts, and to otherwise comply with all applicable advertising disclosure regulations.
7. This release shall be governed by the laws of the State of New York applicable to contracts executed and performed entirely therein. Any dispute or controversy arising out of or relating to this release shall be brought exclusively in the state or federal courts located or having jurisdiction in New York, and I irrevocably submit to the jurisdiction of such courts and agree to waive any objection that such courts are an inconvenient forum for the resolution of such action.
